Terms and Conditions

This Copyright License Agreement (“License”) is made between you (“You”) and Pacific Public Health Foundation (“PPHF”) and governs the rights in relation to text, graphics, images, information and other material of PPHF (“Content”).

By using, reproducing, publishing or distributing the Content, You accept and agree to be bound by the terms and conditions of this License.

1. Definitions

a. “Adapted Content” means content subject to Copyright and similar rights that is derived from or based upon the Content and in which the Content is translated, edits, altered, arranged, transformed, or otherwise modified.

b. “Copyright” means copyright and/or similar rights closely related to copyright including, without limitation, performance, broadcast and sound recording, without regard to how the rights are labeled or categorized.

c. “Share” means to provide Content to the public by any means or process that requires permission under the Licensed Rights, such as reproduction, public display, public performance, distribution, dissemination, communication, or importation, and to make Content available to the public including in ways that members of the public may access the Content from a place and at a time individually chosen by them.

2. License

Subject to the terms and conditions of this License, PPHF hereby grants You a worldwide, royalty-free, non-sublicensable, non-exclusive, revocable license in the Content to: reproduce and Share the Content for non-commercial purposes only (“Licensed Rights”).

3. License Conditions

3.1 Notices. If You Share the Content, You must retain the following marked on the Content:

a. A copyright notice in the following form: © [year] Pacific Public Health Foundation;

b. A URL or hyperlink to www.pacificpublichealth.ca, as applicable; and

c. PPHF’s logo.

3.2 No Adapted Content. You will not create or Share Adapted Content without express written consent from PPHF. © 2023 PPHF

4. No Relationship

PPHF and You are acting independently. Nothing contained in this License will be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between You and PPHF. This License does not authorize You to speak on behalf of PPHF, including in relation to the Content. You will direct any inquiries relating to the Content to PPHF.

5. Term and Termination

This License applies for the term of Copyright in the Content licensed herein, unless terminated as provided herein. PPHF may terminate this License upon written notice to You, at any time and for any reason, including that Your use of the Content is contrary to the policies or mandate of PPHF, in its sole discretion. This License will terminate automatically if You fail to comply with the terms of this License.

Upon termination of this License You will destroy all copies of the Content in Your possession.

6. Governing Law

The laws of British Columbia, Canada shall apply to this License and in respect of all matters ancillary thereto, and the Courts of British Columbia shall have exclusive jurisdiction.
